Terms of Service

1. Introduction and Acceptance

Welcome to CostOps. These Terms of Service ("Terms") govern your access to and use of CostOps (the "Service"), a CI/CD cost intelligence platform operated by Dev Forward LLC ("Company," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

CostOps provides CI/CD cost intelligence services, including:

  • Cost tracking and analytics for GitHub Actions workflows
  • Historical cost data and trend analysis
  • Cost alerts and threshold notifications
  • Optimization recommendations based on usage patterns
  • Team and repository cost breakdowns

The Service integrates with GitHub through a GitHub App installation. We access your GitHub Actions metadata (workflow runs, job details, timing information) to calculate and display cost information. We do not access your source code, secrets, or repository contents.

3. Account Registration and Security

To use the Service, you must:

  • Create an account using GitHub OAuth or email authentication
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. GitHub Integration

The Service requires installation of our GitHub App to access your GitHub Actions data. By installing our GitHub App, you:

  • Authorize us to access GitHub Actions metadata for the selected repositories
  • Acknowledge that you have authority to grant this access for your organization
  • Understand that we request read-only permissions and do not modify your repositories
  • Agree to GitHub's terms of service in addition to these Terms

Our GitHub App requests the following permissions:

  • Actions (read-only): To access workflow run and job metadata
  • Metadata (read-only): To access repository names and basic information

You may revoke our access at any time by uninstalling the GitHub App from your organization settings.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated means to access the Service beyond normal API usage
  • Share account credentials or allow unauthorized users to access your account
  • Misrepresent your identity or affiliation
  • Use the Service to collect data about other users without consent

Violation of these terms may result in immediate termination of your account.

6. Billing and Payment

CostOps offers both free and paid subscription plans. For paid plans:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or as explicitly stated
  • We may change pricing with 30 days' notice to existing subscribers
  • Failure to pay may result in suspension or termination of service

Refund Policy:

  • Monthly subscriptions: No partial refunds for unused portions
  • Annual subscriptions: Full refund available within 30 days of initial purchase if you are not satisfied
  • Service unavailability: If the Service is unavailable for more than 48 consecutive hours due to issues within our control, you may be eligible for a prorated refund

Payment processing is handled by Stripe. By providing payment information, you also agree to Stripe's terms of service.

7. Intellectual Property

The Service, including its design, features, and content, is owned by Dev Forward LLC and protected by intellectual property laws. You retain ownership of your data; we claim no intellectual property rights over the GitHub data you provide access to.

You grant us a limited license to process your GitHub Actions data solely for the purpose of providing the Service. This license terminates when you delete your account or revoke GitHub App access.

8. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Cost calculations will be perfectly accurate (we calculate costs based on GitHub's published rates and the data available to us)
  • The Service will meet all of your requirements
  • Any errors in the Service will be corrected

Cost estimates provided by the Service are based on GitHub's published pricing and the workflow metadata we receive. Actual GitHub billing may differ due to factors outside our visibility, including but not limited to: free tier allocations, enterprise agreements, or pricing changes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEV FORWARD LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the greater of:

  • The amount you paid us in the 12 months preceding the claim, or
  • One hundred dollars ($100)

These limitations do not apply to liability arising from fraud, gross negligence, willful misconduct, or personal injury caused by our negligence.

11. Indemnification

You agree to indemnify and hold harmless Dev Forward LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable law.

12. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. We may terminate or suspend your account immediately, without prior notice, if you violate these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We will delete your account data in accordance with our Privacy Policy
  • Provisions that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations of liability, and dispute resolution)

13. Dispute Resolution

Informal Resolution: Before filing any formal dispute, you agree to contact us at contact@costops.dev and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute arising from these Terms or your use of the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Cook County, Illinois, unless both parties agree to a different location or virtual proceedings.

Class Action Waiver: You agree that any dispute resolution will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

15. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page
  • Notify you via email or through the Service at least 30 days before changes take effect
  • Provide you the opportunity to review the changes before they become effective

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Dev Forward LLC regarding the Service.
